Structural Questions

Do the parties govern the project through a joint steering committee (“JSC”)? If so, what are the parties expressly designated roles and responsibilities with respect to the JSC?
Are there other committees, important governance bodies, or designated individual positions? What are the parties’ roles and responsibilities with respect to them?
Are the parties required to meet in accordance with a defined schedule for decision-making and progress reporting activities?
What are the resolution mechanisms for disputes related to the agreement?

This document sets out the Wellcome Trust’s (“Wellcome”) standard Grant Conditions. The Grant Conditions together with Wellcome’s Grant Funding Policies, and a grant-specific Award Letter form the full terms and conditions attached to Wellcome’s grant funding. Wellcome’s Policies include a Clinical Trials Policy, an IP Policy, a Consent and Revenue and Equity Sharing Policy, and an Open Access Policy.

Under the Grant Conditions and Wellcome’s Policies, any commercialization of Wellcome-funded IP is required to prioritize public benefit and should not generate excessive private returns. Grantholders are required to submit IP & Commercialization Reports until the expiry of any intellectual property created in whole or in part with Wellcome’s funding (“Wellcome-funded IP”), including copies of any commercialization agreements in unredacted format for Wellcome’s review. An Outputs Management Plan is also required for significant research outputs such as patentable inventions or new research materials. Wellcome may ask grantees to make provisions related to access in low- and middle-income countries in their Outputs Management Plans and commercialisation agreements.

11. Governing law and jurisdiction

These Grant Conditions shall be governed by and interpreted in accordance with the law of England and Wales and any disputes in connection with these Grant Conditions shall be governed exclusively by the courts of England and Wales.
