<p><b>(a) Vaccine and Drug Development Projectsb>p>
<p>(ii) The Foundation – and the Company, under the conditions set forth below – will contribute in kind or through funding to agreed–upon Projects. The specific level and allocation of funding responsibilities for a specific Project will be decided on a Project–by–Project basis as mutually agreed in good faith in writing by the Parties based on a fair allocation of the expected benefits. For the avoidance of doubt, if a Project serves solely the Foundation’s charitable purposes, the expectation of the Parties is that the Foundation will fully fund the direct costs associated with such specific Project.p>
