This Global Health Letter Agreement (“Global Health Agreement”) between AXA Prime Impact Master Fund I SCA SICAV-RAIF (“Investor”) and Revelation Biosciences, Inc. (“Company”) was signed in December 2020 in connection with AXA’s purchase of shares in Revelation Biosciences totalling approximately USD $4 million (“Investment”). The key purposes of the Investment are to provide relief and improvements to health in Target Countries, and to educate health practitioners and public officials on cost-effective technologies designed to improve the health and safety of individuals (“Global Health Objectives”). Revelation Biosciences will use a portion of the Investment to support clinical trials and regulatory approvals for a therapeutic product and a diagnostic (the “Program Products”) for use in Target Countries. “Target Countries” are those that are defined by the World Bank as low- or lower-middle-income countries, and approved by a Global Access Committee.

Under the agreement, Revelation Biosciences makes commitments to provide non-profit organizations and public sector purchasers with affordable Program Products while advancing the Global Health Objectives detailed in the Agreement. The terms of the agreement are also incorporated in separate instruments: Preferred Stock Purchase Agreement, Purchase Agreement, Investor’s Rights Agreement, Voting Agreement, and Right of First Refusal and Co-Sale Agreement (collectively, the “Investment Documents”).

2. Term

The term of this Global Health Agreement shall end on the six (6) year anniversary of the Initial Closing under the Purchase Agreement (“Term”).
